Mergers & Acquisitions
For the seller of a company, the decision to sell may be the final step after a long period of preparation and careful deliberation. In other cases, it may have been visited upon the seller quickly, typically by the pressures of insufficient cash and the absence of access to capital. Some of our clients are profitable but have balance sheet pressures; others have insufficient profits and/or cash flow to go it alone. In any case, GlassRatner typically advises our clients through a systematic process for presenting the company to the marketplace and closing the transaction that results in maximum value to the seller. In our work, we are always mindful of the importance of confidentiality and balancing any differing objectives among stakeholders.
In the case of a distressed company, a sale process may take place outside of bankruptcy or in bankruptcy, typically as a Section 363 sale. GlassRatner:
- Focuses potential buyers on the most compelling investment opportunities of the business;
- Identifies motivated buyers with sufficient financial resources; and
- Cultivates buyers until a deal with the most favorable possible terms can be negotiated and consummated expeditiously.
We have significant experience gained through the completion of many transactions, including sell- and buy-side mandates and management/leveraged buyouts. We have acted on behalf of public and closely-held companies, family and other private companies, and private equity funds. For both sellers and buyers of businesses, GlassRatner offers the same objective advice, deep experience with value-enhancing tactics, and aggressive execution.
We also work with management teams, owners and boards of directors to evaluate shareholder liquidity alternatives—through a management buyout, an outright sale of the business to a strategic or financial buyer, a shareholder dividend, or an ESOP structure to help maximize shareholder liquidity.
As your trusted advisor, we will strive to understand your shareholder objectives and in turn find the option that best serves your needs, particularly in light of the current capital market environment. With a strategy in place, we can help you raise the capital you need to meet your objectives.
