For the seller of a company, the decision to sell may be the final step after a long period of preparation and careful deliberation.  In other cases, it may have been visited upon the seller quickly, typically by the pressures of insufficient cash and the absence of access to capital.  Some of our clients are profitable but have balance sheet pressures; others have insufficient profits and/or cash flow to go it alone.  In any case, GlassRatner typically advises our clients through a systematic process for presenting the company to the marketplace and closing the transaction that results in maximum value to the seller.  In our work, we are always mindful of the importance of confidentiality and balancing any differing objectives among stakeholders.   

In the case of a distressed company, a sale process may take place outside of bankruptcy or in bankruptcy, typically as a Section 363 sale.  GlassRatner:

  • Focuses potential buyers on the most compelling investment opportunities of the business;
  • Identifies motivated buyers with sufficient financial resources; and
  • Cultivates buyers until a deal with the most favorable possible terms can be negotiated and consummated expeditiously.
